Service Description

Undesk is a Software as a Service (SaaS) platform designed to act as an operating system for freelancers and agencies. It provides tools for project management, client portals, invoicing, e-signatures, team chat, and document storage.

Accounts and Workspaces

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the confidentiality of your account and password.
• You are strictly responsible for all activities that occur under your account and within your created workspaces.
• We reserve the right to refuse service, terminate accounts, or remove/edit content at our sole discretion if we detect fraudulent or abusive behavior.

Subscriptions and Payments

Certain aspects of the Service are billed on a subscription basis. You will be billed in advance on a recurring schedule (monthly or annually) based on the plan you select.

• Payment Processing: All payments are processed securely via our payment partner, Razorpay. By upgrading to a paid plan, you agree to Razorpay's terms of service regarding payment processing.
• Cancellations: You can cancel your subscription at any time through your Billing Settings. If you cancel, you will retain access to premium features until the end of your current billing cycle.
• Refunds: Unless required by law, all payments are non-refundable. We do not provide prorated refunds for mid-cycle cancellations.

User Content and Client Data

Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, documents, or other material ("Content").

You retain all rights to the Content you upload, including your client details, invoices, and project assets. However, you are strictly responsible for ensuring that you have the right to upload and share this data, and that it complies with all applicable privacy laws (such as obtaining consent from your clients before adding their data to the CRM).

Acceptable Use Policy

You agree not to use the Service to:

• Upload or distribute any malicious code, malware, or illegal content.
• Attempt to gain unauthorized access to other workspaces or user data.
• Use the lead scraping features to spam, harass, or violate the privacy of individuals or businesses.
• Send deceptive or fraudulent invoices to clients.

Limitation of Liability

In no event shall Undesk Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; and (iii) unauthorized access, use or alteration of your transmissions or content.

Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
